DeliIQ Terms of Service

Plain-English summary (the full terms below control): you own your store's data, we own the software. DeliIQ is a tool — running your store legally (taxes, age-restricted sales, EBT, lottery) stays your job. AI answers are informational, not accountant advice. The service is provided as-is, our liability is capped, and disputes are resolved one-on-one in New York.

1. Agreement

These Terms of Service are a binding agreement between the business that creates a DeliIQ workspace (the "tenant," "you") and Deli IQ Inc ("DeliIQ," "we"), a New York company. They cover the DeliIQ tracker, admin, POS software, AI features, hardware sales, catalog, reporting, support, and billing services (together, the "Services"). By creating an account, accepting these terms at signup, or using the Services, you agree to them. If you accept for a business, you confirm you are authorized to bind that business.

2. Eligibility & Accounts

The Services are for business use by people 18 or older. You are responsible for keeping account credentials, owner PINs, and cashier PINs confidential, for all activity under your workspace — including activity by your staff — and for keeping your account information accurate. Tell us promptly at hello@deliiq.com if you suspect unauthorized access.

3. Your Data

The tenant owns its raw store records. You grant DeliIQ a license to store, process, sync, analyze, display, and back up tenant data as needed to provide, secure, support, and improve the Services. DeliIQ does not sell individual store records. We may use de-identified, aggregated data that does not identify any tenant, person, or store for service improvement, benchmarking, and statistics. Shared catalog suggestions and cross-tenant product intelligence remain inactive unless introduced with separate notice and opt-in, as described in the Data Use Policy.

You are responsible for the accuracy and legality of the data you and your staff enter, scan, or import, and for having the right to upload it.

4. Acceptable Use

Use the Services only for lawful store operations. You agree not to: access or attempt to access another tenant's data; bypass billing, entitlement, or security controls; resell, sublicense, or provide the Services to third parties; reverse engineer, copy, or create derivative works of the software except where the law allows it; use the Services to violate any law; interfere with the operation of the Services; or use automated means to scrape or overload them. We may suspend or terminate workspaces that violate this section.

5. Store Compliance Is Your Responsibility

DeliIQ provides tools, not legal, tax, or regulatory compliance. You are solely responsible for operating your store lawfully, including without limitation:

AI features (including the AI Bookkeeper and invoice OCR) generate output automatically and can be wrong, incomplete, or out of date. AI output is informational only — it is not accounting, tax, legal, or financial advice, and no accountant-client or fiduciary relationship is created. Verify AI output and OCR-extracted figures before relying on them, and use a qualified professional for filings and financial decisions. See the AI Disclaimer, which is part of these terms.

7. Plans, Billing & Cancellation

The Free Tracker is free. Paid plans bill in advance through Stripe at the prices shown when you subscribe; paid package pricing may be provisional during rollout and can change with notice before your next billing period. You can cancel anytime — see the Refund & Cancellation Policy, which is part of these terms. We may suspend paid features for non-payment after notice. You are responsible for sales or use taxes on your subscription and hardware where applicable.

8. Card Processing

DeliIQ is not a bank, payment processor, or money transmitter. Card, EBT, and digital-wallet payments are processed by third-party processors under your own agreement with them. Processing fees, chargebacks, reserves, settlement, PCI-DSS obligations for your merchant account, and processor decisions are between you and your processor. DeliIQ passes transaction data to the terminal or processor you configure and is not liable for processor outages, declines, holds, or account actions.

9. Hardware

Hardware is sold at retail, one-time, with the Limited Hardware Warranty, which is part of these terms and states your exclusive remedies for hardware defects. Hardware requires compatible software, power, and network conditions; third-party hardware you connect is supported on a best-effort basis only.

10. Third-Party Services

The Services depend on third-party providers (hosting, database, payments, email, telecom). We are not responsible for third-party outages, changes, or acts. Links and integrations are provided for convenience and do not mean we endorse or guarantee the third party.

11. Availability

We work hard to keep DeliIQ up, and parts of the Services are designed to work offline, but the Services are provided without any uptime guarantee or service-level agreement. We may modify, suspend, or discontinue features with reasonable notice where practical. Keep independent records where the law requires you to; export tools are provided for this.

12. Intellectual Property

DeliIQ owns the software, design, and brand. We grant you a limited, non-exclusive, non-transferable license to use the Services for your store while your account is in good standing. Feedback you send us may be used without obligation. No rights are granted except as stated here.

13. Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THE LIMITED HARDWARE WARRANTY, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DELIIQ DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. NO ADVICE OR INFORMATION FROM DELIIQ CREATES ANY WARRANTY NOT STATED HERE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) DELIIQ IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, FINES, OR PENALTIES, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) DELIIQ'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (i) THE AMOUNTS YOU PAID DELIIQ IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (ii) $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnification

You will defend and indemnify DeliIQ against claims, fines, and costs (including reasonable attorneys' fees) arising from: your store's operations; your violation of law or of these terms; your data; your tax, age-verification, EBT, lottery, or employment obligations; or disputes between you and your customers, staff, or processor.

16. Term, Suspension & Termination

These terms apply while you use the Services. You may stop using the Services and cancel at any time. We may suspend or terminate access for breach of these terms, non-payment, legal risk, or abuse — with notice where practical. After termination, you have 30 days to export your data, after which we may delete it per the Data Use Policy. Sections that by their nature survive (3, 5, 6, 12–18) survive termination.

17. Disputes, Governing Law & Class Waiver

These terms are governed by New York law, without regard to conflicts rules. Before filing any claim, you agree to contact us at hello@deliiq.com and give us 30 days to resolve it informally. Except for small-claims cases and requests for injunctive relief, any dispute that we cannot resolve informally will be finally resolved by binding individual arbitration in Kings County, New York, administered by the American Arbitration Association under its Commercial Arbitration Rules. You and DeliIQ each waive any right to a jury trial and to participate in a class action or class-wide arbitration. You may opt out of arbitration by emailing us within 30 days of first accepting these terms. For matters outside arbitration, the state and federal courts in Kings County, New York have exclusive jurisdiction.

18. General

We may update these terms; material changes will be posted with a new version date, and continued use after the effective date is acceptance. If a provision is unenforceable, the rest remains in effect. We are not liable for delays caused by events beyond our reasonable control. You may not assign these terms without our consent; we may assign them in connection with a merger, sale, or reorganization. These terms, plus the policies they incorporate (Privacy, Data Use, Refunds, Warranty, AI Disclaimer), are the entire agreement and supersede prior versions.
